Legal Ownership and Terms Acceptance

These Terms of Use (“Terms”) govern access to and use of NORAI Academy, including the website located at norai.fi, all courses, lessons, downloads, ebooks, newsletters, certificates, student accounts, learning materials, digital products, and related services offered under the NORAI Academy brand.

NORAI Academy is a brand and digital learning platform owned and operated solely by Lausas Group Tmi, a Finnish sole proprietorship registered in Finland under business ID 2817863-6 (“Lausas Group,” “we,” “us,” or “our”).

Lausas Group is responsible for the development, management, publication, distribution, and commercial operation of all courses, digital products, learning materials, newsletters, downloads, and related services offered under the NORAI Academy brand.

By accessing NORAI Academy, creating an account, enrolling in a course, downloading materials, subscribing to communications, purchasing a product, or otherwise using our services, you agree to these Terms. If you do not agree to these Terms, you must not use NORAI Academy.

1. Scope of These Terms

These Terms apply to all NORAI Academy services, whether free or paid, including but not limited to:

• courses and lessons;
• quizzes, assignments, and learning paths;
• certificates and completion records;
• ebooks, guides, PDFs, templates, and downloads;
• newsletters and educational email sequences;
• account areas and student dashboards;
• community, feedback, comments, reviews, and submissions;
• future NORAI Academy digital products, subscriptions, workshops, or learning services.

These Terms apply to all users, including visitors, students, subscribers, purchasers, business users, and any person accessing NORAI Academy on behalf of an organisation.

If a separate written agreement exists between you and Lausas Group, that written agreement takes priority over these Terms only to the extent that it expressly conflicts with them.

2. Educational Purpose Only

NORAI Academy provides educational content about artificial intelligence, prompt engineering, automation, image generation, local/private AI tools, digital workflows, and related topics.

All content is provided for general educational and informational purposes only.

NORAI Academy does not provide legal, financial, medical, tax, investment, cybersecurity, engineering, or other regulated professional advice. Any examples, workflows, prompts, tools, strategies, or explanations are provided for learning purposes and must be evaluated by you before use.

You are solely responsible for how you apply any information, techniques, prompts, tools, or workflows learned through NORAI Academy.

3. No Guaranteed Results

We do not guarantee that using NORAI Academy will produce any specific result, including but not limited to:

• improved work performance;
• employment, income, business growth, or commercial success;
• technical accuracy in all situations;
• legal or regulatory compliance;
• successful AI-generated outputs;
• error-free prompts, automations, or workflows;
• acceptance of any certificate by employers, authorities, institutions, or third parties.

AI tools, software platforms, laws, models, interfaces, and best practices change frequently. Content that was accurate when published may become outdated, incomplete, or unsuitable for your specific situation.

You agree that you use NORAI Academy at your own discretion and risk.

4. Account Registration

Some features may require a user account.

You agree to provide accurate information when creating an account and to keep your login credentials secure. You are responsible for all activity under your account unless the activity results from our own proven security failure.

You must not:

• create accounts using false, misleading, automated, or abusive methods;
• register accounts for spam, scraping, testing, credential attacks, or fraud;
• share your account credentials with others;
• allow multiple users to access paid content through one personal account;
• bypass email verification, access controls, enrolment requirements, or payment systems.

We may suspend, restrict, or delete accounts that appear fraudulent, abusive, automated, inactive, or in breach of these Terms.

5. Free Content

NORAI Academy may provide free courses, ebooks, newsletters, downloads, or other learning materials.

Free access is provided at our discretion. We may change, limit, suspend, remove, or discontinue free content at any time, subject to applicable law.

Free content does not create any obligation for us to provide ongoing support, updates, certificates, access continuity, or individual assistance.

6. Paid Content and Purchases

NORAI Academy may offer paid courses, subscriptions, downloads, workshops, certificates, bundles, or other digital products.

Prices, availability, features, access periods, and included materials are shown at the time of purchase. We may change pricing and product structure at any time, but changes will not retroactively alter a completed purchase unless required by law or clearly stated at purchase.

You agree to provide accurate billing and payment information. We may refuse, cancel, or restrict access to purchases that appear fraudulent, unpaid, abusive, or made in violation of these Terms.

Unless otherwise stated, paid access is personal, non-exclusive, non-transferable, and limited to the individual purchaser.

7. Consumer Withdrawal Rights and Digital Content

If you are a consumer in the European Union or Finland, you may have a statutory right of withdrawal for certain online purchases.

For digital content, online courses, downloads, and immediately accessible learning materials, you may lose your withdrawal right where permitted by law if:

• you expressly request or consent to immediate access or delivery before the end of the withdrawal period; and
• you acknowledge that you lose your right of withdrawal once access or delivery begins.

Where required, we may ask for this consent and acknowledgement during checkout.

If the law grants you a withdrawal right that cannot be waived, we will respect that right. Nothing in these Terms limits mandatory consumer rights that cannot legally be excluded.

8. Refunds

Refunds are provided only where required by applicable law or where expressly stated by us at the time of purchase.

To the maximum extent permitted by law, we do not provide refunds merely because:

• you changed your mind after access was granted;
• you did not complete a course;
• you did not achieve a desired result;
• you found the material too basic or too advanced;
• you failed to use the product during the access period;
• a third-party AI tool, platform, model, or software changed after purchase;
• you expected individual consulting, support, or custom implementation that was not included in the purchased product.

Any discretionary refund granted by us does not create an obligation to provide similar refunds in the future.

9. Certificates and Completion Records

NORAI Academy may issue certificates, badges, completion notices, or course progress records.

Certificates are evidence of completion of NORAI Academy content only. They are not academic degrees, formal professional licences, government-recognised qualifications, or regulated certifications unless expressly stated.

We may refuse, revoke, or correct certificates where we believe there has been fraud, account sharing, technical manipulation, abuse, or error.

10. Intellectual Property

All NORAI Academy content, including courses, lessons, videos, text, graphics, prompts, frameworks, ebooks, downloads, templates, quizzes, certificates, branding, design, structure, and educational materials, is owned by Lausas Group or its licensors unless otherwise stated.

You receive a limited, personal, non-exclusive, non-transferable, revocable licence to access and use NORAI Academy materials for your own learning purposes.

You must not, without written permission:

• copy, resell, redistribute, publish, upload, or share NORAI Academy materials;
• reproduce course content in another course, platform, book, website, video, dataset, or training product;
• use NORAI Academy content to train, fine-tune, benchmark, or populate AI models, datasets, agents, or automated systems;
• remove copyright notices, branding, watermarks, author attribution, or licence text;
• scrape, crawl, mirror, archive, or bulk-download the site or course materials;
• provide paid or public access to NORAI Academy content outside the official platform;
• claim NORAI Academy content, frameworks, prompts, or materials as your own.

All rights not expressly granted are reserved.

11. User Content, Reviews, and Feedback

You may submit reviews, comments, messages, feedback, course responses, contact form submissions, or other content (“User Content”).

You remain responsible for your User Content. You confirm that you have the right to submit it and that it does not violate any law, third-party rights, confidentiality obligations, or these Terms.

By submitting User Content, you grant Lausas Group a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, quote, edit for length or clarity, publish, and distribute that content for operating, improving, promoting, and documenting NORAI Academy.

We may moderate, remove, refuse, or edit User Content where we consider it abusive, misleading, unlawful, promotional, spam, irrelevant, or otherwise unsuitable.

We may use anonymised or attributed reviews and feedback for marketing and social proof, unless you request removal and we are legally required to comply.

12. Prohibited Use

You must not use NORAI Academy for:

• unlawful, fraudulent, harmful, or abusive activity;
• harassment, threats, defamation, discrimination, or hate content;
• spam, credential attacks, bot registrations, scraping, or automated abuse;
• malware, phishing, social engineering, or cyber abuse;
• attempting to bypass access restrictions, payment systems, or account controls;
• copying, reverse-engineering, extracting, or repackaging NORAI Academy materials;
• violating intellectual property, privacy, data protection, or confidentiality rights;
• using course content to create a competing product or service without permission;
• misrepresenting your identity, affiliation, credentials, or intentions;
• activities that may damage, overload, disrupt, or compromise our website, systems, reputation, users, or service providers.

We may take any action we consider reasonably necessary to protect NORAI Academy, Lausas Group, users, infrastructure, intellectual property, and legal interests.

13. Third-Party Tools, Platforms, and Links

NORAI Academy may mention, demonstrate, link to, or teach the use of third-party tools, software, models, websites, plugins, APIs, services, or platforms.

Third-party services are not controlled by us. We are not responsible for their availability, pricing, security, privacy practices, legality, accuracy, outputs, policies, or changes.

Your use of third-party tools is governed by the relevant third party’s own terms, policies, and laws. You are responsible for checking whether any third-party tool is suitable for your use case.

Mentioning a tool does not mean we endorse it, guarantee it, or accept responsibility for it.

14. AI Outputs and Technical Content

NORAI Academy may provide examples involving prompts, AI-generated outputs, workflows, automations, local AI tools, or model behaviour.

AI outputs may be inaccurate, biased, incomplete, outdated, misleading, or unsuitable. You must independently verify important information before relying on it.

You are solely responsible for:

• reviewing AI outputs;
• checking factual, legal, technical, ethical, and commercial suitability;
• complying with applicable laws and third-party terms;
• ensuring that your use of AI tools does not violate confidentiality, privacy, intellectual property, employment, sector-specific, or regulatory obligations.

We are not liable for decisions, losses, claims, or consequences arising from your use of AI tools, outputs, prompts, or workflows taught or discussed through NORAI Academy, except where liability cannot legally be excluded.

15. Availability, Changes, and Access

We aim to keep NORAI Academy available, but we do not guarantee uninterrupted, error-free, secure, or permanent access.

Access may be interrupted, restricted, modified, or discontinued due to maintenance, updates, hosting issues, security incidents, third-party failures, legal requirements, technical changes, business decisions, or force majeure events.

We may update, replace, remove, restructure, rename, or discontinue content, courses, features, prices, access methods, or platform functionality at any time, subject to applicable law.

We are not liable for temporary unavailability, technical errors, data loss, platform changes, or discontinued features, except where liability cannot legally be excluded.

16. Email Communications

By subscribing, creating an account, enrolling in a course, downloading materials, or making a purchase, you may receive emails related to NORAI Academy.

These may include:

• account and login emails;
• verification emails;
• course enrolment and progress emails;
• transactional purchase emails;
• certificate or completion emails;
• educational newsletters, where you have subscribed or consented;
• service updates and important notices.

You may unsubscribe from marketing or newsletter emails using the unsubscribe link. Some transactional or service-related emails may still be sent where necessary to operate your account, deliver purchased content, provide security, or comply with law.

17. Privacy and Data Protection

We process personal data in accordance with our Privacy Policy.

The Privacy Policy explains what personal data we collect, why we process it, the legal bases for processing, how long data is stored, who may receive it, and what rights you have under applicable data protection laws.

If there is a conflict between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy applies to the processing of personal data.

18. Security

You must not attempt to access accounts, systems, content, data, or infrastructure without permission.

You must not test, scan, attack, disrupt, overload, bypass, or exploit NORAI Academy systems unless you have prior written permission from Lausas Group.

We may use security tools, spam prevention, rate limiting, bot protection, logging, monitoring, and access controls to protect the platform.

We may block, suspend, delete, or report activity that appears abusive, malicious, automated, fraudulent, or harmful.

19. Disclaimer of Warranties

NORAI Academy is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we make no warranties or representations, express or implied, regarding:

• accuracy, completeness, or reliability;
• fitness for a particular purpose;
• uninterrupted or error-free access;
• compatibility with your devices, tools, business, or goals;
• security beyond reasonable measures;
• learning outcomes, commercial outcomes, technical outcomes, or professional outcomes;
• acceptance of certificates or materials by any third party;
• continued availability of free or paid content.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded under applicable law.

20. Limitation of Liability

To the maximum extent permitted by law, Lausas Group is not liable for indirect, incidental, special, consequential, punitive, exemplary, reputational, business, financial, data, profit, opportunity, or goodwill losses arising from or related to NORAI Academy.

To the maximum extent permitted by law, our total aggregate liability for any claim relating to NORAI Academy is limited to the amount you paid to us for the specific NORAI Academy product or service giving rise to the claim during the twelve months before the claim arose.

If you used only free services, our total aggregate liability is limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where exclusion or limitation is not permitted by law, including liability for intentional misconduct, gross negligence where applicable, or mandatory consumer rights.

21. Indemnity

If you use NORAI Academy on behalf of a business, organisation, client, employer, or other legal entity, you agree to indemnify and hold Lausas Group harmless from claims, damages, losses, liabilities, costs, and expenses arising from:

• your misuse of NORAI Academy;
• your breach of these Terms;
• your violation of law or third-party rights;
• your use of AI tools, outputs, workflows, or materials in your own business, client work, or organisation;
• your unauthorised copying, redistribution, resale, scraping, or commercial exploitation of NORAI Academy content.

This indemnity applies to the maximum extent permitted by law.

22. Suspension and Termination

We may suspend, restrict, or terminate access to NORAI Academy if:

• you breach these Terms;
• we suspect you have breached these Terms;
• payment fails or is reversed;
• your account appears fraudulent, abusive, automated, or harmful;
• you share access credentials or misuse paid content;
• you infringe intellectual property rights;
• your activity creates legal, security, operational, or reputational risk;
• we are required to do so by law or by a service provider.

Termination does not affect rights or obligations that by nature should survive, including intellectual property, payment obligations, disclaimers, liability limits, prohibited use, and dispute provisions.

23. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted on the NORAI Academy website. Your continued use of NORAI Academy after changes are posted means you accept the updated Terms. We strongly suggest you visit here from time to time to see if there are any updates to the terms.

For material changes affecting paid services or mandatory consumer rights, we will provide notice where required by law.

24. Governing Law and Disputes

These Terms are governed by the laws of Finland, excluding conflict-of-law rules.

If you are a consumer, you retain any mandatory consumer protection rights available to you under the laws of your country of residence where such rights cannot legally be waived.

Any disputes shall primarily be resolved through good-faith negotiation.

If a dispute cannot be resolved, disputes shall be handled by the competent courts of Finland.
